1. Scope and parties
1.1 These Terms govern your use of the Libebox AI Client Trust Passport (the "Service"), offered by Wojciech Liber, trading as Libebox, Hevelingstr. 218, 47574 Goch, Germany, email info@libebox.com, VAT ID DE465457174 ("Libebox", "we").
1.2 The Service is a digital subscription for freelancers and small agencies. It includes an interactive builder, a Member Starter Pack, editable templates, monthly AI Tool Trust Notes and quarterly workflow review packs. Features may change under section 9.
1.3 "Consumer" means a natural person who concludes the contract for purposes that are predominantly outside their trade, business or profession. "Business customer" means anyone else, including a person acting in the exercise of their trade, business or profession.
2. Ordering, merchant of record and contract
2.1 Paddle (the Paddle entity shown on your receipt) acts as reseller and merchant of record. Paddle handles checkout, payment, applicable transaction taxes, receipts, subscription billing and refunds. The Paddle Buyer Terms apply to the purchase in addition to these Terms.
2.2 Libebox provides the Service, grants the rights in section 6 and is responsible for the content and operation of the Service. Paddle is responsible for payment, billing and refund processing.
2.3 The product description, price, billing period and applicable taxes are shown before you complete checkout. The contract comes into existence when Paddle confirms your order. We send you the confirmation by email.
2.4 You must give accurate information at checkout, especially a working email address. We deliver access and updates to that address.
3. Prices, subscription and renewal
3.1 The Service is available monthly at USD 19 or annually at USD 190, or at the price shown at checkout. Whether taxes are included is shown at checkout.
3.2 The subscription renews automatically for the same period until you cancel. You can cancel at any time through the Paddle Customer Portal (link in your confirmation email or on paddle.net) or by contacting support@libebox.com. Cancellation takes effect at the end of the current billing period. You keep access until then.
3.3 We may change the price for future periods. We announce the change in advance, in text form and through Paddle, and where the law requires it we ask for your consent. If you do not agree, you may cancel before the new price applies.
3.4 Your statutory right to terminate for good cause remains unaffected.
4. Delivery
4.1 We make the Member Starter Pack and the builder available electronically, normally immediately after Paddle confirms payment. Delivery is by signed, time-limited download link sent to the email address you provided. Links may expire, and we can send a new one on request.
4.2 Updates (Trust Notes, review packs) are delivered to the same email address during the paid subscription period.
5. Right of withdrawal and refunds
5.1 Consumers have a statutory right of withdrawal as described in our Withdrawal Information and the Paddle Refund Policy.
5.2 Business customers have no right of withdrawal. Refunds for them are at our discretion, except where the law requires otherwise.
5.3 Nothing in this section limits statutory warranty rights.
6. Licence and permitted use
6.1 For the duration of the paid subscription we grant you a non-exclusive, non-transferable, non-sublicensable right to use the Service and its content for your own freelance or business operations and for client work you are authorised to perform. You may adapt the templates for your clients.
6.2 You may not: resell, sublicense or distribute the files as a competing product; copy or extract substantial parts of the Service for republication; interfere with the Service, checkout, delivery or security; share your access links with third parties outside your business; use the Service unlawfully; or present an output of the Service as a legal opinion, certification or guarantee.
6.3 You own the content and records you create with the Service. We own the Service, its design, branding, written materials and templates, except for third-party material.
7. Not legal advice
The Service provides operational guidance only. It is not legal advice, a compliance assessment or a certification, and it does not guarantee that any workflow satisfies a law, a contract or a client requirement. Seek qualified advice where legal or contractual risk requires it.
8. Statutory warranty (consumers) and defects (business customers)
8.1 For consumers, the statutory rules on digital products apply (sections 327 et seq. German Civil Code, BGB), including our obligation to provide updates that keep the digital content in conformity during the subscription period.
8.2 For business customers, defects must be reported to support@libebox.com within a reasonable time after discovery. We remedy defects by repair or replacement. If that fails, you may reduce the price or terminate. Claims for defects become time-barred after twelve months, except in cases of intent, fraud, personal injury or where a longer period is mandatory.
9. Changes to the Service
We may improve, change or discontinue features and materials if this is reasonable for you. We do not discontinue a paid feature in a way that materially reduces the value of your paid period without a fair remedy, such as a pro-rata refund of the unused remainder. We do not guarantee uninterrupted availability, but we make reasonable efforts to keep the Service available.
10. Liability
10.1 We are liable without limit for damage caused by intent or gross negligence, for injury to life, body or health, under the German Product Liability Act, and where we have given a guarantee or fraudulently concealed a defect.
10.2 In cases of slight negligence we are liable only for breach of an essential contractual obligation (an obligation whose fulfilment makes the proper performance of the contract possible and on which you may regularly rely). In that case our liability is limited to the foreseeable damage typical for this type of contract.
10.3 Otherwise we are not liable for slight negligence.
10.4 For business customers, the liability for slight negligence under 10.2 is also capped at the fees you paid in the twelve months before the event, to the extent the law allows.
10.5 The limits in this section also apply to the personal liability of our employees, representatives and agents.
10.6 You remain responsible for your professional judgement, client approvals, tool choices, data handling and final deliverables.
11. Data protection
We process personal data as described in our Privacy Policy.
12. Governing law and jurisdiction
12.1 German law governs these Terms and the contract, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, you also keep the mandatory consumer protection provisions of the country where you habitually reside.
12.2 If you are a business customer, a merchant under German law, a legal entity under public law or a special fund under public law, the place of jurisdiction is the courts competent for Goch, Germany. We may also sue you at your own place of jurisdiction.
12.3 If you are a consumer, mandatory statutory jurisdiction rules remain unaffected, so you may sue in the courts of your country of residence.
13. Dispute resolution
We are neither obliged nor willing to take part in dispute-resolution proceedings before a consumer arbitration board. Please contact support@libebox.com first. We aim to answer within five working days.
14. Changes to these Terms and final provisions
14.1 We may amend these Terms for valid reasons, such as legal changes or new features. We notify you in text form at least 30 days before the change takes effect. If you do not object within that period and continue using the Service, the change applies, and we point this out in the notice. You may cancel at any time before the change takes effect.
14.2 If a provision is or becomes invalid, the remaining provisions stay in force. The statutory rules replace the invalid provision.
14.3 The English version is binding for the contract. Translations are for convenience only.
